Acceptance of Terms

These Terms of Service ("Terms") govern the access, navigation and use of the online platform through which users ("User", "You", "your") can exchange and trade parts (the "Services").

If you do not agree with any part of the Terms, you do not have permission to access the Service.

Age Requirement and Parental Responsibility

Users must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age. If you are under 18 years old, you do not have permission to access or use the Service.

While parents and guardians are encouraged to supervise internet use, hank.parts maintains its own reporting mechanisms to protect minors and prevent access to age-inappropriate content. If you become aware of a minor using the platform, please report it to help@support.hank.parts.

We reserve the right to implement age-assurance measures where we identify a risk of minors accessing the Service.

If we discover that a user is under 18 years old, we will immediately terminate their account and delete their personal data in accordance with our Privacy Policy and applicable data protection laws.

Service Description

hank.parts is a community-driven marketplace platform that allows users to post part requests, make offers, and interact with other community members through comments and discussions (the "Platform").

Notice about the Platform:

We act solely as a hosting service provider and a neutral intermediary connecting users. Consequently, we are not party to transactions between users, we do not act as intermediaries, commission agents or guarantors thereof. hank.parts does not intervene in the negotiation, completion or execution of transactions between users, and therefore we assume no responsibility in relation to them, including, by way of illustration (not limitation), the following:

  • We do not guarantee the quality, safety, condition, suitability or legality of the parts offered;
  • We do not verify the truth, accuracy or veracity of advertisements or their advertisers;
  • We do not ensure that users will complete transactions or fulfill the obligations arising from them (including delivery of parts in a timely manner).
  • We do not intervene in or manage payment processing or delivery, which are carried out directly between users.

Users are solely responsible for complying with laws applicable to the sale or exchange of parts, including product safety regulations, import/export restrictions and tax obligations that may arise from transactions carried out through the Platform. Users are advised that their statutory rights under applicable law vary depending on whether the seller is a 'trader' (business) or a private individual. In any case, hank.parts does not handle returns, refunds, or shipping. It is the sole responsibility of the seller, where applicable, to provide this information.

Legal and Tax Obligations:

Users are responsible for any taxes, duties or fees applicable to their transactions. hank.parts does not provide tax advice nor does it manage tax filing for user transactions.

Users who offer parts through the Platform and, where applicable, receive economic compensation derived from their sale or exchange, shall be solely responsible for having all authorizations, licenses or administrative registrations required for the development of such activity, as well as for complying with any tax, labor or social security obligations that may arise from it.

The user is solely responsible for determining whether, according to applicable law, their participation in transactions constitutes the exercise of an economic or professional activity, and, in that case: (i) for expressly identifying themselves as a business user on the Platform, and (ii) for complying with the legal requirements that apply in such case.

If you are a professional or business selling to a consumer, you must expressly provide them with all legally required information regarding the sale or exchange before the transaction is finalized. This includes, but is not limited to conditions for returns and cancellations.

The user exempts hank.parts from any liability, fines, penalties, damages or losses of any kind that may arise from non-compliance with legal, tax, administrative or any other obligations applicable to them as a result of transactions carried out through the Platform.

Registration, Access and Use of the Platform

To access the Platform and be able to publish, exchange or sell parts, it will be necessary to register as a user, creating a personal account by completing the form provided for this purpose.

Registration is free. In case there are functionalities subject to payment, they will be duly identified and the terms and conditions to which they are subject will be provided, which must be accepted prior to their use.

During the registration process, certain personal data will be requested, which will be processed in accordance with the Privacy Policy. The user undertakes to provide truthful, accurate and complete information and to keep it updated at all times. hank.parts reserves the right to suspend or cancel access to the user's account if false, inaccurate or incomplete data is detected.

During registration, you must clarify if you are acting as a private individual or a business/trader.

The user shall be responsible for maintaining the confidentiality of their Platform access credentials, and any conduct performed under such credentials shall be considered acts of the user. In case of unauthorized use of the user's credentials, they must immediately notify hank.parts, as well as any other incident related to access security.

Business Seller Registration

Users may optionally apply for a "Trader" badge to identify themselves as professional sellers. To apply, users must upload a valid business document (such as a trade license or business registration) via the platform. Our administration team will manually review each submission and, at its sole discretion, may approve, reject, or revoke the "Trader" status at any time.

Users will be notified via email of the outcome of their badge request, including any subsequent changes to their status.

We will retain any business documentation and professional data submitted for the purposes of providing the 'Trader' status for as long as such status remains active on the user's account. Upon the termination of this status or the closure of the account, such information will be securely archived and restricted from processing for a period necessary to satisfy legal, regulatory, or compliance obligations, including the defense of potential legal claims. Once the relevant limitation periods for legal liability have expired, all such documentation will be permanently and securely deleted from our systems.

The process for obtaining 'Trader' status is based solely on information and documentation provided by the user. We do not perform any independent checks on the authenticity, validity, or accuracy of the uploaded documents, nor do we conduct identity checks or 'Know Your Customer' (KYC) procedures. The presence of a 'Trader' badge signifies only that a user has registered as a business and does not constitute an endorsement by us of the seller's legal status, nor a guarantee of the quality or safety of their items. Users are advised to exercise their own judgment and perform their own due diligence when entering into transactions.

"As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, CONTINUOUS AVAILABILITY OF THE SERVICE, ABSENCE OF ERRORS OR INTERRUPTIONS, OR THE VERACITY, ACCURACY OR RELIABILITY OF CONTENT OR INFORMATION PROVIDED THROUGH THE PLATFORM.

Consequently, hank.parts does not guarantee that:

  • the Service will operate uninterrupted, securely or be available at any particular time or location;
  • all errors or defects will be corrected;
  • the Service is free from viruses, errors or other harmful components;
  • the results of using the Service will meet your requirements.

Community Conduct and User Content

As a community-driven platform, hank.parts relies on user-generated content, including part requests, offers, comments and other interactions. By using our Service, you agree that:

  • You are responsible for all content you post, including part descriptions, offers and comments;
  • You will provide accurate and truthful information about parts and transactions;
  • You will respect other community members and act in good faith;
  • You will not post content that is illegal, harmful, abusive or violates the rights of others;
  • You understand that transactions are between individual users, not with hank.parts.

hank.parts does not review or approve content uploaded by users in advance, including descriptions, offers or any other content, nor is it obliged to generally supervise information that they store or disseminate through the Platform. However, hank.parts reserves the right to remove or block access to content and suspend or cancel the account of the infringing user when it has actual knowledge that such content is unlawful or violates these Terms.

Users may report or communicate to hank.parts the existence of inappropriate, illegal or community standards-violating content through a communication to help@support.hank.parts. hank.parts will analyze such communications with all possible diligence and will adopt, where appropriate, the relevant measures in accordance with current legislation, as explained in the "Reporting Fraudulent or Illegal Content" Section.

Content Upload and Public Accessibility

The platform allows users to upload content, including images, part descriptions, offers and other materials. By uploading content to our Service, you understand and accept that:

  • Uploaded content may be publicly accessible through direct links;
  • Content may be accessible to anyone who has the direct URL, even without an account;
  • You must not upload content containing sensitive, private or confidential information;
  • You are responsible for ensuring that you have the right to upload and share any content;
  • Content must be appropriate and relevant to the purpose of the Platform;
  • We reserve the right to remove inappropriate content without prior notice.

Do not upload content that you do not want to be publicly accessible. Keep in mind the public nature of uploaded content when using our Platform.

Content License and Intellectual Property Rights

About the Platform and Services:

All intellectual and industrial property rights over the Services, including the Platform, its source code, design, navigation structure, databases, texts, images, videos, logos, trademarks and other elements that comprise it are the exclusive property of hank.parts or third parties who have authorized its use.

The reproduction, distribution, public communication, transformation or any other form of exploitation, in whole or in part, of the Services, the Platform or its contents is expressly prohibited without the prior express written authorization of hank.parts or the owner of the corresponding rights.

Access and use of the Services and the Platform does not confer any intellectual or industrial property rights over them or any of their elements to the user.

About user content:

By uploading content to our Service, you grant hank.parts a worldwide, non-exclusive, royalty-free license to use, display, reproduce and distribute your content solely for the purpose of operating and providing the Service.

You retain full ownership of your content. This license only allows us to display your content to other users and perform technical operations necessary for the Service.

You warrant that you have all necessary rights, licenses and permissions to upload and share your content, and that your content does not infringe the intellectual property or other rights of third parties. The user shall hold hank.parts harmless against any claim arising from the publication of such content.

This license terminates when you delete your content from the Service, except when the content has been shared or copied by other users, or when retention is required by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, hank.parts, ITS DIRECTORS, EMPLOYEES, COLLABORATORS, AGENTS, SUPPLIERS OR AFFILIATED COMPANIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGE OR LOSS, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, REPUTATION OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • access to or use of or inability to access or use the Service;
  • any conduct or content of other users or third parties on the Platform;
  • any content obtained through the Service;
  • unauthorized access, use or alteration of your transmissions or user content;
  • interruption, suspension or termination of the Service;
  • any error, virus, trojan or similar that may be transmitted to or through the Service;
  • any other loss or damage of any kind incurred as a result of your use of the Service.

Nothing in these Terms excludes or limits hank.parts' liability in cases where applicable law prohibits it, especially in cases of fraud or gross negligence, death or personal injury, or other liability that cannot be excluded or limited by law.

Indemnification

You agree to indemnify, defend and hold harmless hank.parts, its directors, employees, partners, agents and affiliates from and against any claim, liability, damage, loss, cost or expense (including reasonable legal fees) arising from:

  • Your violation of these Terms;
  • Your violation of applicable laws or regulations;
  • Your infringement of intellectual property or other rights of third parties;
  • User content you upload or share through the Service;

This indemnification obligation does not apply where prohibited by applicable consumer protection laws.

Acceptable Use

By using our Service, you agree not to:

  • Violate any applicable law or regulation;
  • Infringe the rights of third parties, including intellectual property, industrial property, privacy or image rights;
  • Post false, misleading or fraudulent part descriptions or offers;
  • Engage in spam, including repetitive posts or unsolicited messages;
  • Harass, abuse or threaten other users;
  • Post content that is illegal under applicable law (including, where applicable, the UK Online Safety Act), harmful, offensive or inappropriate;
  • Attempt to defraud other users or participate in scams including any form of financial deception or misrepresentation;
  • Use the Platform for any illegal action or transaction, including, encourage or provide instructions for criminal activity or the exchange of regulated or unauthorized items;
  • Send malicious software or attempt to compromise platform security
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or user accounts
  • Create multiple accounts to circumvent bans or restrictions
  • Engage in any activity that may damage, disable, overload or impair the Service

We reserve the right to proactively monitor and remove any content that constitutes illegal activity, fraud, or a breach of our safety standards. To protect the integrity of the Service, we may take immediate action, including content removal, account suspension (as detailed in the "Content Removal, Account Suspension and Bans" Section) and cooperation with law enforcement or regulatory authorities, regarding any content or activity that poses a risk to users.

Prohibited Items:

Additionally, users may not post:

  • Any items or services that are not specifically related to vehicle parts, components, or accessories;
  • Stolen, counterfeit or illegally sourced parts;
  • Parts subject to recalls or safety alerts without proper disclosure;
  • Parts requiring special licenses or permits without appropriate documentation.

Violation of these rules shall constitute a violation of these Terms and may result in content removal, suspension or cancellation of the user's account, permanent ban from accessing or using the Platform, as well as taking appropriate legal action.

hank.parts reserves the right to investigate violations of these rules and cooperate with administrative or judicial authorities when necessary to protect its rights, those of other users or third parties, as well as to ensure compliance with applicable legislation.

Service Limitations and Modifications

The Provider reserves the right at any time to:

  • Modify or discontinue, temporarily or permanently, the Service with or without prior notice
  • Limit the availability of the Service to any person, geographical area or jurisdiction
  • Set limits on server resources, storage capacity or any feature
  • Change or update these Terms.

Modifications provided for in the preceding paragraph will be published on the Platform itself or notified individually to the user, indicating the effective date, and will be applicable from that moment or from the date expressly indicated.

Continued use of the Services after the modifications come into effect will imply acceptance of the new Terms. If you do not agree with them, the user may stop using the Service and request cancellation of their account.

We will not be liable to you or third parties for any modification, suspension or discontinuation of the Service.

Reporting Fraudulent or Illegal Content

If you encounter content on our Platform that you consider to be fraudulent, contrary to this Terms, or otherwise illegal, you may report it to us through a communication to help@support.hank.parts.

To help us act effectively, your report should ideally include: (i) your full name and contact details; (ii) the precise location (e.g., URL) of the content; and (iii) a description of why you believe the content is fraudulent, contrary to this Terms, or otherwise illegal.

If we have reasonable grounds to infer that content is eligible to be removed, we may take down the content or restrict access to it, as detailed in the "Content Removal, Account Suspension and Bans" Section, unless prohibited by applicable law.

Account Termination and Suspension

hank.parts reserves the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms, engage in fraudulent behavior, abuse other users or violate our community standards.

Content Removal, Account Suspension and Bans:

We may take action against your content or your account if we have reasonable grounds to infer that you have shared illegal content, fraudulent advertisements, or content that otherwise breaches these Terms. We may also take action to avoid criminal or civil liability.

Depending on the nature of the breach, we may:

  • Remove or restrict access to specific content you have generated, uploaded, or shared.
  • Suspend or ban your account, preventing you from using the Platform.

If your content is removed or your account is suspended or banned:

  • You will receive an email notification explaining the reason for the decision.
  • You have 14 days from the date of suspension to file an appeal.
  • Appeals must be sent through help@support.hank.parts and must include:
    • Your username and email address.
    • A detailed explanation of why the ban decision should be reversed.
    • Any relevant evidence supporting your appeal.
  • Under applicable data protection law, you can also request access to your personal data and information about the ban decision through help@support.hank.parts.
  • Appeals submitted after the 14-day period may not be considered.
  • If your complaint is upheld, the content will be swiftly reinstated or the action against your account will be promptly reversed.
  • Creating new accounts to circumvent a ban is prohibited and will result in immediate termination of those accounts.
  • hank.parts will handle all appeals in a diligent, transparent and objective manner.

Voluntary Account Deletion:

You can delete your account at any time through your account settings. When you request account deletion:

  • Certain data may be retained to comply with legal obligations, law enforcement requests or regulatory requirements before permanent deletion in accordance with the Privacy Policy.
  • Any active posts, offers or interactions will be automatically considered closed or canceled, without hank.parts assuming any responsibility for the consequences that such deletion may have on relationships or transactions between users.

All provisions of the Terms that by their nature should survive termination will survive termination, including, without limitation, intellectual property provisions, warranty disclaimers, indemnification and limitations of liability.

Account Recovery

Once account deletion is requested, it will be temporarily deactivated for a maximum period of sixty (60) calendar days, during which the user may request its recovery. After sixty (60) days without requesting reactivation, the account and all associated personal data will be permanently deleted, except for those that must be kept blocked during the legally established periods to address possible liabilities or requests from authorities.

The user may recover their account during this period by contacting help@support.hank.parts.

Data Protection

Your use of our Service is also governed by our Privacy Policy, which regulates how we collect, use and protect your personal data.

Force Majeure

We are not responsible for any failure or delay in fulfilling our obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor disputes, government actions, internet service provider failures or interruptions in telecommunications or digital transmission services.

Accessibility

We strive to ensure that our Service is accessible to all users. If you encounter any accessibility issues when using our Service, contact us through help@support.hank.parts so we can work to resolve it.

Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time to reflect changes in relevant laws or regulatory requirements, changes to our Services (for example, the introduction of paid features), system functions, security features, or technical adjustments, improvements to the clarity of the Terms.

If a revision is material, we will provide you with reasonable advance notice (at least 30 days' notice) before any new terms take effect.

If you do not agree with the updated Terms, you have the right to terminate this agreement and close your account without penalty before the changes take effect. By continuing to access or use our Service after the revisions take effect, you agree to be bound by the revised terms. If you do not agree with the new terms, you are no longer authorized to use the Service.

Miscellaneous

Communications between hank.parts and the user will preferably be carried out by electronic means through the Platform or the email address indicated by the user and, in the case of hank.parts, that indicated in the "Contact Us" clause. Those made to the user will be considered effective when they are accessible to them.

Clause headings are provided for illustrative purposes only and shall have no legal effect.

The user may not assign or transfer, in any way, the rights or obligations established in these Terms, in whole or in part, without the prior written authorization of hank.parts.

If any provision of these Terms is determined to be unenforceable or invalid, the remaining provisions will not be affected and will remain in full force and effect.

The failure of either party to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Waiver of any right or provision will be effective only if made in writing and signed by both Parties.

Governing Law and Jurisdiction

These Terms are governed by Spanish law, unless you are a consumer resident in the United Kingdom or the European Union, in which case the mandatory laws of your country of residence will apply to any dispute or claim, and you will enjoy the protection of the mandatory provisions of your local consumer legislation.

For the resolution of any controversy or conflict arising from access to or use of the Platform, the parties expressly submit to the jurisdiction of the Courts and Tribunals of the city of Cádiz, with express waiver of any other jurisdiction that may correspond to them, except for imperative legal provisions to the contrary. In the latter case, the courts and tribunals that are legally applicable will have jurisdiction. For example, if you are a consumer resident in the United Kingdom or the European Union, you may also choose to bring legal proceedings in the courts of your country of residence.
